Wound up and dissolved business in connection with an involuntary dissolution as Court Appointed Liquidator of Solar Notion, Inc., a ventured-back $15,000,000 Series A financed Delaware corporation. As Liquidator (i) marshaled and exercised exclusive control over records and assets, (ii) negotiated liabilities and preserve assets for the benefit of the creditors and shareholders, (iii) disposed of assets, (iv) negotiated with landlord and claimants, (v) filed payroll taxes, (vi) filed and terminated retirement plan, (vii) caused the filing of county personal property tax returns, (viii) caused the filing of federal, state and local income tax returns, (ix) filed IRS and state forms for dissolution (x) filed Delaware tax returns and resolved delinquencies, (xiv) determined validity of claims, and (xi) reported to the court, and recommended to the court final payment of creditors, and final distribution to shareholders.
